Throughout these Terms, “GrowWithFlows”, “we”, “us” or “our” refers to Userability OÜ.

2. Scope

These Terms of Service (“Terms”) apply to all purchases, downloads, consulting services, subscriptions, retainers, and other services offered by GrowWithFlows via growwithflows.com or other official checkout channels. By purchasing or using our products or services, you agree to these Terms.

3. Products & Services

GrowWithFlows may provide, including but not limited to:

  • Klaviyo flow templates and email marketing templates
  • Digital downloads, guides, frameworks, playbooks
  • Consulting and strategy calls
  • Setup & implementation services (e.g., Klaviyo, Shopify integrations)
  • Ongoing optimization retainers (e.g., deliverability stabilization, flow management)
  • Custom technical integrations (e.g., Zapier/Make, reviews tools, tracking setups)

Unless explicitly stated otherwise, products are delivered digitally.

4. Digital Products

4.1 Delivery

Digital products are delivered electronically after successful payment (e.g., via download link, email, or account access). You are responsible for providing a valid email address and ensuring your system can receive our emails (including spam filtering).

4.2 License Grant

Upon purchase, you receive a non-exclusive, non-transferable, non-sublicensable license to use the purchased digital product for your own business purposes, limited to the scope of the license described on the product page or invoice.

You may not:

  • Resell, redistribute, share, gift, or sublicense the templates or materials
  • Upload templates/materials to marketplaces, public drives, repositories, or communities
  • Provide the templates as a deliverable to third parties (including clients) unless explicitly licensed
  • Claim the templates or frameworks as your own intellectual property

5. Services & Consulting

5.1 Scope of Work

The scope of services is defined in writing (proposal, statement of work, invoice, email confirmation, or contract). Any work outside the agreed scope may require a separate quote.

5.2 No Guaranteed Results

While we apply best practices and professional expertise, we do not guarantee specific outcomes such as revenue increases, conversion rates, deliverability improvements, inbox placement, open rates, or click rates. Performance depends on multiple factors beyond our control (e.g., list quality, offer strength, sending history, audience engagement, and platform algorithms).

6. Payments, Taxes & Invoicing

All prices are displayed in EUR unless stated otherwise. Payment is due immediately unless agreed otherwise in writing.

  • We reserve the right to suspend services or withhold deliverables in case of non-payment.
  • Late payments may incur statutory late payment interest and reasonable collection costs where permitted by law.
  • VAT may apply depending on your location and VAT status. Where applicable, VAT details will be shown at checkout or on the invoice.

7. Refund Policy

7.1 Digital Products

Due to the nature of digital goods, all purchases of digital products are final and non-refundable, unless required by applicable law.

Where consumer law applies and permits, by purchasing digital content you expressly agree that delivery begins immediately after purchase and acknowledge that you may lose your right of withdrawal once the download or access is provided.

7.2 Services

Refunds for services are not granted once work has commenced, time has been reserved, or deliverables have been started, except where required by mandatory law or explicitly agreed in writing.

8. B2B Priority Clause

GrowWithFlows primarily operates as a B2B provider. Unless explicitly stated otherwise, our products and services are intended for business customers (entrepreneurs, companies, agencies, and e-commerce operators).

If you qualify as a consumer under applicable EU law, mandatory consumer protection rights remain unaffected. However, digital content is typically delivered immediately after purchase. Where legally permitted, you acknowledge and agree that performance begins immediately and that the right of withdrawal may be lost once delivery starts.

9. No Agency Redistribution

Templates, frameworks, systems, strategic documents, and materials provided by GrowWithFlows may not be:

  • Rebranded and resold
  • Included inside agency packages as standalone products
  • Distributed to multiple client accounts under one purchase
  • Uploaded to marketplaces, communities, courses, or membership portals

If an agency intends to use our templates for multiple client accounts, a separate commercial or agency license must be agreed in writing. Violation constitutes a material breach of contract.

10. Template Misuse & Audit Rights

We reserve the right to investigate suspected misuse, unauthorized distribution, or license violations. In the event of reasonable suspicion:

  • We may request confirmation of usage scope and license compliance.
  • We may request reasonable proof of compliance (e.g., entity name, domain, account ownership, intended usage).
  • We may suspend access pending clarification.

If unauthorized redistribution or misuse is confirmed, we may revoke the license immediately and pursue contractual and legal remedies (including injunctive relief and claims for damages) under Estonian and applicable EU law.

11. Intellectual Property

All content, templates, frameworks, documentation, training materials, website content, and deliverables provided by GrowWithFlows remain the intellectual property of GrowWithFlows / Userability OÜ, unless explicitly agreed otherwise in writing. No ownership transfers to the customer.

12. Third-Party Platforms

Our products and services may involve third-party platforms such as Shopify, Klaviyo, Zapier, Make.com, Reviews platforms, analytics tools, etc.

We are not responsible for changes, outages, limitations, API restrictions, pricing changes, or policies imposed by third parties. You remain responsible for your third-party subscriptions and compliance with their terms.

13. Deliverability Disclaimer (Email Marketing Specific)

GrowWithFlows provides strategy, implementation, and technical setup related to email marketing systems (e.g., Klaviyo). However, we do not control:

  • ISP filtering systems and spam algorithms (e.g., Gmail, Outlook, Yahoo)
  • Domain and IP reputation scoring systems
  • Blacklists and their criteria
  • Third-party app behavior and deliverability infrastructure changes
  • Customer engagement behavior and list quality

Therefore, we provide no guarantees regarding inbox placement, open rates, revenue, or domain reputation. GrowWithFlows shall not be liable for spam placement, blacklistings, deliverability fluctuations, revenue changes, or algorithmic changes.

14. Confidentiality

Both parties agree to keep confidential business information, credentials, and non-public materials confidential and not disclose them to third parties, except where disclosure is required to perform the agreed services (e.g., to a subcontractor under confidentiality) or required by law.

15. Data Protection

We process personal data in accordance with applicable data protection laws (including GDPR where applicable) and our Privacy Policy: [link to your Privacy Policy]. You are responsible for ensuring that your own data collection and marketing practices comply with applicable law.

16. Retainer Agreements & Cancellation Policy

Ongoing service retainers (e.g., optimization, strategy, flow management, deliverability stabilization) are subject to the following terms unless agreed otherwise in writing:

  • Minimum term: As agreed in writing (default: 3 months if not specified)
  • Cancellation notice: 30 days prior to the next billing cycle
  • Form: Notice must be submitted in writing (email is sufficient)

If cancellation notice is not provided within the required timeframe, the retainer renews for the next billing period. Work performed, time reserved, and deliverables scheduled within the notice period remain billable.

17. Limitation of Liability

To the maximum extent permitted by law, GrowWithFlows shall not be liable for:

  • Loss of profits or revenue
  • Indirect, consequential, or special damages
  • Deliverability issues caused by third-party platforms, list quality, or customer behavior
  • Technical failures or outages of external software and services

Our total aggregate liability for any claim related to a product or service is limited to the amount paid by you for the specific product or service giving rise to the claim.

18. Professional Responsibility (Consulting)

Recommendations are provided based on professional experience and industry best practices. Final decisions and implementation responsibility remain with the client, especially where the client implements changes independently or provides incomplete/incorrect information. We are not liable for compliance violations caused by client-side data collection, inaccurate client-provided data, or implementations made without our involvement.

19. Termination

We reserve the right to suspend or terminate access to products and services if:

  • These Terms are violated (including license misuse)
  • Fraudulent activity is suspected
  • Payment obligations are not fulfilled

20. Force Majeure

GrowWithFlows shall not be liable for delays or failure to perform resulting from events beyond reasonable control, including platform outages, third-party changes, cyberattacks, governmental actions, or other force majeure events.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be subject to the jurisdiction of the Estonian courts, unless mandatory law requires otherwise.

22. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
